Key aspects of the role include: 

• Drafting, negotiating, and reviewing commercial documents and contracts, or, where appropriate, arranging for external legal advice or review (including agreements with customers for sale of products and services, agency and broker agreements, leases, supplier and service provider agreements etc). 

Providing legal support and advice: 

• for establishment of new entities, alliances and joint ventures as required in Australia and internationally. 

• for obtaining relevant licences, permits and authorisations in Australia and internationally.

• Help to coordinate key licensee digital and social marketing activities
• Assist with research and tracking changing trends in the region on digital and social executions & competitive landscape
• Coordinate creation of monthly creative report to capture product and marketing executions for reporting and future inspiration
• Input regularly into APAC weekly market update emails to senior management
• Presentation of project to the management team at the end of internship
• Help with other adhoc tasks as required
• Support in strategically researching future partners especially in FBC.

This role would have a dual support function across both studios and primarily be responsible for the administration support of the creative team including :

• Specifications for all paid media & exhibition assets
• Co-ordination of deadlines with internal team and agency partners
• Downloading of assets
• Uploading of approved assets
• Distribution of approved assets to external stakeholders ie. Exhibition partners
• Distribution of approved assets to internal partners
• Creative rotation instructions to agency partners

Role Summary This role reports to the Head of Legal, APAC, with day to day activities supervised by the Head of Legal, State Street Australia Limited. We are seeking a lawyer to work as part of the team supporting State Street's institutional services business, including custodial and fund accounting services, investment manager outsourcing, performance and analytics, collateral management, transfer agency, data and other administrative services, principally in Australia and New Zealand. As part of an APAC regional team of lawyers, the successful candidate may also be required to provide support to State Street's business in APAC also. The role is based in Sydney or Melbourne, with occasional travel requirements. Broadly, the role includes responsibility for advising senior management on legal matters affecting the continued operation and expansion of the institutional services business in Australia; actively participating in on-boarding new clients; assessing and developing new products, services and markets; advising on corporate and regulatory governance matters; and researching and analysing the impact of legislative developments on the business. Key Responsibilities General support for the Institutional Services business units in Australia and New Zealand, and other APAC jurisdictions as required, including: drafting and negotiating key agreements with customers and suppliers (in particular, custody agreements, administrative services agreements, alternatives/private markets documentation and service level agreements); contributing to assessment and development of new products and services and research in relation to the same; corporate and regulatory governance matters, including legal entity support and regulatory reporting; preparing regular activity and legal developments reports for legal department management and local governance committees; reviewing and negotiating agreements for operational purposes, including confidentiality agreements, pricing agreements, supply agreements, documentation relating to unlisted asset investments and other miscellaneous agreements; contributing to conduct of regular and ad hoc education seminars to employees on legal and ethical issues relating to their business unit; drafting of responses and providing legal advice in connection with RFIs and RFPs and review of related documentation; providing various legal advice as required over a range of issues impacting the institutional services business; working with and managing outside counsel as required. Project work in relation to: Oversight of implementation of changes to client documentation expected in relation to CPS 230 and other regulatory initiatives; and APAC and global projects, including to: assess and draft global template documentation; implement global initiatives related to delivery and standardization of services; and amend documentation to reflect regulatory requirements. Skills and Qualifications Australian qualified lawyer Minimum 5 years PQE desirable. A combination of in-house and private practice experience highly desirable Custody, investment management and/or general financial services experience preferred, and familiarity with custody bank operations and global custody structures an advantage Strong technical legal skills, including research, drafting and risk assessment and strong problem identification and resolution skills Ability to work with business unit teams to develop practical solutions within applicable legal and regulatory framework Ability to develop and sustain strong relationships with internal and external clients, peers and staff and interact with multiple levels within local, regional and global organization Strong project management skills and deadline oriented, ability to prioritise and execute multiple tasks with attention to detail, working independently to drive execution of projects Capable of working with and instructing outside counsel efficiently and within budget.

What key responsibilities does this role have @ Koala?

• Partnering closely with business teams to provide legal advice and support across a range of areas, including supply chain, consumer law, corporate governance, compliance and marketing.

• Assisting in the development and implementation of strategies to streamline business processes, both internally and externally.
• Supporting the interface between external counsel and the business.
• Assisting the Company Secretary to meet the obligations, duties and responsibilities under the Corporations Act and manage company secretarial documentation.
• Providing legal project management and managing commercial disputes.
• Compiling, preparing and delivering training on legal and compliance issues.
• Playing a key role in designing and bringing new ideas and initiatives to fruition!! 

Ideal background…

• Legal qualification in Australia.
• Min 3 years’ experience in a fast paced in-house legal environment, ideally with an e-commerce background. Candidates from a commercial law firm interested in making the move inhouse will also be considered.
• Great communicator with the ability to get to the heart of a matter quickly. 
• Good commercial and contract drafting skills and experience in negotiating and reviewing agreements.
• Can work both autonomously, in a team environment and across remote settings. 
• An eye for detail and urge to maintain high standards. 
• Driven by solving problems to deliver solutions on time and in pragmatic, (fun and) creative ways.
• Possess a continuous improvement mindset: bring your previous experience to improve things at Koala & for our customers.
• Powerpoint presentations extraordinaire - bring your creatives to the fore.
• Knowledge of G-Suite is also highly desired.
