JOB TITLE - Legal Counsel and Compliance Manager

SALARY - $140,000 - $150,000 AUD
WORK TYPE - Full-time Position
As an in-house Legal Counsel, you will have a crucial, hands-on role in overseeing and ensuring that all commercial and legal requirements are upheld to achieve the desired results. You will provide knowledgeable guidance and counsel on various business activities. You will provide legal advice and counsel, prepare and draft legal documents, and conduct negotiations on behalf of the organisation, its stakeholders and other parties on matters associated with business activities. You will also evaluate and identify ways to enhance contractual governance and compliance practices throughout the organisation.
In cooperation with the Regional Legal team and with the assistance of external counsels, if need be, act as sole legal counsel for all legal matters of the Pacific sub-region, in the following areas:
1) Corporate governance: handling of corporate secretarial duties for the 4 legal entities, by coordinating with finance managers, external corporate secretary or law firms as well as BTL Corporate Legal Department and the Group Securities Department.
2) Contract review: reviewing, negotiating and drafting commercial contracts (freight forwarding and logistics services, agency, lease, tenders, etc.).
3) Legal disputes: managing pre-litigation and lawsuits in the best interests of the company.
4) General legal advice: identifying, evaluating and managing legal risks in business decisions and operations by keeping abreast of relevant regulations.
5) Provide legal advice to the HR team on Employee Relations matters including disciplinary issues, termination of employment, complex staff complaints, industrial disputes, enterprise bargaining, grievance handling, managing ill and injured workers, workplace change, and work, health and safety related regulations
6) In cooperation with the Regional Insurance and Claims Officer, oversee the following insurance-related matters:
- Claims handling and declaration to the group insurance broker
- Follow up of local insurance policies
- Assist in the development of marine cargo insurance
7) In line with the Regional Compliance Officer guidelines and local regulatory requirements, responsible for the implementation of compliance-related policies and procedures in the following areas:
- Anti-Bribery and Anti-Corruption: organizing monthly committees, giving trainings, reviewing risk mapping, implementing action plans, performing third-party screenings, as well as investigating whistleblowing alerts if need be.
- Trade and International Sanctions: assisting internal stakeholders to clear shipments in compliance with applicable embargoes and sectoral sanctions, whether on a spot basis or via the Transport Management System compliance module.
- Privacy and Data Protection: acting as Data Privacy Officer for Australia, reviewing and analyzing relevant documents in conjunction with the Information Security Officers.
- Anti-competitive practices and cartels: keep abreast of local developments, organize awareness sessions and give advice as necessary.
Other key responsibilities may include:
- Management and oversight of all legal agreements
- Administration and maintenance of all records, official communications, and templates
- Assist with our risk management and policy governance frameworks
- Support the oversight of all agreements
- Provide reliable advice to all key stakeholders
ESSENTIAL SKILLS REQUIRED
- Undergraduate or Graduate Law Degree in recognized university, with focus on company law, commercial law and international/comparative law
- Minimum 5 years of working experience, preferable in-house with a regional exposure
- Knowledge of regulatory compliance issues related to the transport industry
- Meticulous with ability to handle sensitive information and maintain confidentiality
- Proactive, strives for continuous improvement.
- Licensed and registered as Solicitor in NSW required
